Terms of Use

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and wkventures LLC, a limited liability company (“Company,” “we,” “us,” or “our”), the operator of StrideOdds (“Platform,” “Service”).

By creating an account, you expressly acknowledge that you have read, understood, and agreed to be bound by these Terms in their entirety. If you do not agree to these Terms, you may not access or use the Service.

Your affirmative act of checking the acceptance checkbox during account registration constitutes your electronic signature to these Terms, which has the same legal force and effect as a handwritten signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN), 15 U.S.C. § 7001 et seq. wkventures LLC retains a timestamped record of this acceptance.

StrideOdds is an informational and analytical platform. The Service applies AI-driven statistical models to publicly available horse racing data — including speed figures, trainer and jockey performance metrics, track conditions, and market odds — to generate probability estimates and edge scores. These outputs are provided solely as decision-support data for users’ own independent evaluation.

You expressly acknowledge and agree that:

• StrideOdds does not operate as a bookmaker, betting exchange, tipster service, or licensed gambling operator in any jurisdiction.
• StrideOdds does not provide gambling advice, investment advice, financial advice, or any form of regulated advisory service.
• Algorithm outputs — including but not limited to edge scores, probability estimates, confidence ratings, and “value play” designations — are statistical models only. They do not constitute recommendations, tips, or advice to place any wager.
• The language used within the Platform (including terms such as “pick,” “edge,” “value,” and “confidence”) describes statistical outputs and does not imply any guarantee of outcome, advisory relationship, or promise of profit.
• You are the sole decision-maker with respect to any wager you place. StrideOdds provides data; you make the call.

The distinction between an information provider and a betting advisor is material under applicable law. wkventures LLC operates exclusively as an information provider. Nothing herein, and nothing in the Platform, creates or implies an advisory relationship, a fiduciary duty, or any duty of care with respect to your wagering decisions.

Your use of the Service does not create any of the following relationships between you and wkventures LLC:

• A fiduciary relationship of any kind
• An advisor-client or consultant-client relationship
• A broker-client or agent-principal relationship
• A joint venture, partnership, or employment relationship
• Any “special relationship” that would give rise to a duty of care, enhanced liability, or obligations beyond those expressly set forth in these Terms

wkventures LLC owes you no duty to ensure that any particular algorithm output is accurate, suitable for your circumstances, or that any wager based on such output will be profitable. You expressly waive any claim arising from the theory that a special relationship or reliance interest was created by your use of the Platform.

Negligent Misrepresentation Disclaimer. Any statistical outputs displayed on the Platform (including ROI figures, backtest results, win rates, and edge percentages) represent historical model performance under defined conditions. They are not representations of fact regarding future performance. No statement on the Platform should be construed as a representation upon which you were entitled to rely as a basis for placing a wager. You acknowledge that you did not rely on any such statement as a guarantee or professional opinion.

YOU EXPRESSLY ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF THE SERVICE AND ANY WAGERING DECISIONS YOU MAKE BASED ON OR IN CONNECTION WITH THE SERVICE.

By using the Service, you acknowledge and accept that:

• Horse racing is an inherently unpredictable activity. No statistical model, regardless of its sophistication or historical performance, can reliably predict the outcome of any individual race.
• Gambling and wagering involve a high risk of financial loss. You may lose some or all of any funds you wager.
• You are solely responsible for all financial consequences of your wagering decisions, including any losses incurred after reviewing StrideOdds data.
• You will not hold wkventures LLC responsible for any wagering losses, whether or not those losses occurred in connection with algorithm outputs provided by the Platform.
• You have independently evaluated your financial situation and determined that participating in horse racing wagering is appropriate for you. You are wagering only funds you can afford to lose entirely.

This assumption of risk is a material condition of your access to the Service. Without your agreement to assume this risk, wkventures LLC would not grant you access to the Platform.

PAST PERFORMANCE DOES NOT GUARANTEE FUTURE RESULTS. Any backtest figures, historical ROI data, win rates, or performance metrics displayed on the Platform represent the results of applying the StrideOdds algorithm to historical race data under defined conditions. They do not represent live trading results, actual profits earned by users, or any guarantee of future performance.

Specifically, you acknowledge that:

• Backtested results are inherently subject to look-ahead bias, survivorship bias, and model overfitting risks that may cause live performance to differ materially from historical simulation results.
• The StrideOdds algorithm’s probability estimates are statistical approximations, not predictions. A horse assigned a 40% probability of winning is expected to win approximately 40% of the time over a large sample — it will lose 60% of the time, and any individual race outcome is uncertain.
• Changes in race conditions, market efficiency, regulatory environment, or data availability may affect live algorithm performance in ways that historical backtests cannot anticipate.
• wkventures LLC makes no warranty, representation, or promise — express or implied — that use of the Service will result in profitable wagering, positive expected value, or any particular outcome.

To use the Service, you must be at least 21 years of age, or the minimum legal age to access gambling-related information in your jurisdiction, whichever is higher. By creating an account, you represent and warrant that you meet this requirement.

You are solely responsible for ensuring your use of the Service complies with all applicable laws and regulations in your jurisdiction. StrideOdds makes no representation that the Service is legally permissible in all locations. Access to the Service from a jurisdiction where such access is prohibited is entirely at your own risk.

We reserve the right to request proof of age and to terminate accounts where eligibility requirements are not met. One account per person. Accounts are non-transferable.

7.1 Free Trial

StrideOdds offers a 7-day free trial for eligible new subscribers. No charge is incurred during the trial period. At the end of the trial, your subscription automatically converts to the paid plan you selected and your payment method on file will be charged the applicable subscription fee, unless you cancel before the trial ends.

In compliance with the FTC’s Negative Option Rule (16 C.F.R. Part 425), the charge amount, charge date, and cancellation method are disclosed to you adjacent to the signup button at the time of enrollment and in your confirmation email.

7.2 Subscription Plans and Pricing

Current subscription fees (USD, subject to change with 30 days’ notice):

• Premium Plan: $15.00 per month
• Pro Plan: $39.00 per month

7.3 Automatic Renewal

Subscriptions renew automatically on a monthly basis on the same calendar date each month until cancelled. You authorize wkventures LLC (via its payment processor, Stripe, Inc.) to charge your payment method on each renewal date. A receipt is sent to your registered email after each successful charge.

7.4 Cancellation

You may cancel at any time via account settings at strideodds.ai/app/account or by emailing support@strideodds.ai. Cancellation takes effect at the end of the current paid billing period. You retain full access to the Service until that date.

7.5 No Refunds

All subscription fees are non-refundable except where required by applicable law. We do not provide credits or partial-month refunds for unused periods. If you believe you were charged in error due to a platform malfunction, contact us within seven (7) days of the charge and we will investigate.

7.6 Price Changes

We will provide at least 30 days’ advance written notice of any subscription price increase. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

7.7 Failed Payments

If a payment fails, we may suspend or restrict access to premium features until the payment is resolved. We will notify you by email of any failed payment and provide a grace period to update your payment method before access is suspended.

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation
• Access the Platform from any jurisdiction where doing so is prohibited by law, or while physically located in such a jurisdiction
• Systematically scrape, harvest, extract, or reproduce data from the Platform for any commercial purpose without our express written consent
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any algorithm, model, or software underlying the Service
• Resell, sublicense, or redistribute Platform outputs, edge scores, or algorithm results to third parties without a separate written commercial license from wkventures LLC
• Use automated tools, scripts, bots, or crawlers to access the Service in a manner that places unreasonable load on our systems or circumvents access controls
• Introduce malware, viruses, Trojan horses, worms, or any other malicious code into the Service
• Attempt to gain unauthorized access to any portion of the Platform, its underlying systems, or the accounts of other users
• Share your account credentials with others or permit access by anyone other than yourself
• Create accounts under false identities or misrepresent your age, jurisdiction, or eligibility

Violation of this Section may result in immediate account termination without refund and may expose you to civil and/or criminal liability.

All content, data, algorithms, software, designs, trademarks, text, graphics, and methodology comprising or underlying the Platform — including the StrideOdds going-adaptive algorithm, variable weight system, edge scoring methodology, and backtest framework — are the exclusive intellectual property of wkventures LLC and are protected by applicable copyright, trade secret, trademark, and patent laws.

Your subscription grants you a limited, non-exclusive, non-sublicensable, non-transferable, revocable license to access and use the Service solely for your personal, non-commercial decision-support purposes. All other rights are expressly reserved by wkventures LLC. No license or right is granted by implication, estoppel, or otherwise.

The name “StrideOdds,” the StrideOdds logo, and related marks are trademarks of wkventures LLC. You may not use these marks without our prior written consent.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WKVENTURES LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES THAT ALGORITHM OUTPUTS WILL BE ACCURATE, COMPLETE, TIMELY, OR SUITABLE FOR ANY PARTICULAR PURPOSE
• WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY RACE DATA, ODDS, SPEED FIGURES, OR OTHER THIRD-PARTY DATA PROVIDED THROUGH THE SERVICE

Race data, market odds, and algorithmic outputs may contain errors, delays, or omissions. Use of the Platform and any reliance on its outputs is entirely at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WKVENTURES LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, AGENTS, OR AFFILIATES BE LIABLE TO YOU FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
• GAMBLING OR WAGERING LOSSES OF ANY KIND, WHETHER OR NOT INCURRED IN RELIANCE ON PLATFORM OUTPUTS
• LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS
• LOSS OR CORRUPTION OF DATA
• DAMAGES ARISING FROM SERVICE OUTAGES, ERRORS, DELAYS, INACCURACIES, OR INTERRUPTIONS
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR ACCOUNT

WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WKVENTURES LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

CAP ON LIABILITY. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO WKVENTURES LLC IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) FIFTY DOLLARS ($50.00 USD).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS APPLY ONLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND NOTHING HEREIN SHALL LIMIT YOUR STATUTORY RIGHTS AS A CONSUMER WHERE SUCH LIMITATIONS ARE PROHIBITED.

You agree to defend, indemnify, and hold harmless wkventures LLC and its officers, directors, members, employees, contractors, agents, licensors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your access to or use of the Service
• Your violation of any provision of these Terms
• Your violation of any applicable law, rule, or regulation
• Any wagering or gambling activity you engage in using or in connection with the Service
• Your infringement of any third-party right, including any intellectual property right
• Any claim by a third party arising from your use of the Platform

We reserve the right, at our expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

13.1 Mandatory Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service — including questions about the existence, validity, interpretation, performance, breach, or termination of these Terms — shall be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, except as otherwise provided herein.

The arbitration shall be conducted in English. Unless otherwise agreed, the arbitration will be conducted via written submissions or by videoconference. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.2 Class Action Waiver

YOU AGREE THAT ANY CLAIMS WILL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION.The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of class or representative proceeding. If this class action waiver is found unenforceable, then the agreement to arbitrate shall be null and void with respect to such proceeding.

13.3 Exceptions

Notwithstanding the foregoing, either party may seek: (a) emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm; (b) resolution of intellectual property disputes in court; or (c) small claims court resolution for eligible claims.

13.4 Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@strideodds.ai within 30 days of the date you first accepted these Terms. Opting out does not affect any other provision of these Terms.

These Terms, and any dispute arising hereunder, are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. For any disputes not subject to arbitration, you consent to the exclusive personal jurisdiction of the state and federal courts located in the State of Delaware and waive any objection to venue in such courts.

The Service is operated from the United States. It is your sole responsibility to determine whether your access to and use of the Service is lawful under the laws of your jurisdiction. The Service is not intended for use in any jurisdiction where accessing gambling-analytics tools or related content is prohibited by law.

If you access the Service from a prohibited jurisdiction, you do so entirely at your own risk and are solely responsible for compliance with all applicable local laws. wkventures LLC reserves the right to limit or terminate access based on geographic location at any time without notice.

We reserve the right to suspend or permanently terminate your account and access to the Service at any time, with or without cause, with or without notice, including for: (a) violation of these Terms; (b) failure to pay subscription fees; (c) conduct that we reasonably determine to be harmful to other users, third parties, or the reputation of wkventures LLC; or (d) legal or regulatory requirements.

Upon termination, your right to access the Service immediately ceases. Sections 3, 4, 5, 9, 10, 11, 12, 13, 14, and 19 of these Terms shall survive any termination or expiration.

If we terminate your account without cause, we will refund any prepaid subscription fees on a pro-rata basis for the remaining unused period.

wkventures LLC is committed to promoting responsible use of gambling-related information. We encourage all users to engage with horse racing wagering responsibly, to set strict personal limits, and to seek help immediately if gambling is negatively affecting your life or finances.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by: (a) sending an email to your registered address, and/or (b) displaying a prominent notice on the Platform. The “Last Updated” date at the top of this page reflects the date of the most recent revision.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to any modified Terms, you must cancel your subscription and cease using the Service.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and all other provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and wkventures LLC with respect to the Service and supersede all prior or contemporaneous understandings, agreements, representations, or warranties, whether written or oral. No waiver of any provision herein shall constitute a continuing waiver of that provision or any other provision.

These Terms are personal to you. You may not assign your rights or obligations under these Terms without our prior written consent. wkventures LLC may assign its rights and obligations under these Terms without restriction.
